Version standard-2026-10-v3 · issued 7 October 2026

1. Joining and scope
Participation requires a verified email, explicit acceptance of these terms and CustomerEagle’s approval. The Program is intended for adults acting in the course of a trade, business or profession. By applying you confirm that you act for business purposes. Mandatory protections, including any applicable consumer protections, remain unaffected. These terms govern referral activity; the CustomerEagle Terms of Service govern any separate use of the Service. These terms prevail for Program attribution, commissions and promotion rules.
2. Independent promotion
Partners operate independently, pay their own expenses and have no authority to negotiate or conclude contracts in CustomerEagle’s name or bind CustomerEagle. Do not promise unauthorised features, pricing, discounts or service levels. This arrangement is intended as a referral relationship, not employment, a partnership or commercial agency. Legal classification depends on the actual relationship; no mandatory agency rights or termination compensation are waived.
3. Attribution
The first valid partner link used within 30 days before signup receives attribution. A valid code explicitly entered at signup takes precedence. Attribution is fixed at signup and applies to the first qualifying new workspace. Existing customers, internal accounts, demos, self-referrals and duplicate accounts do not qualify. The first qualifying payment must occur within 90 days of signup.
4. Earning commission
The standard commission is 20% of settled base subscription revenue and Marketing and Reservations/Restaurant add-on subscription fees, after discounts and excluding taxes. Earnings apply for the first 12 months from the first qualifying payment, including add-ons purchased later within the same window. Additional agent seats, other add-ons, metered usage, AI usage, credit purchases, voice/SMS charges and implementation fees are excluded. Failed payments and free trials earn no commission. Annual prepayments release commission across paid service months. The minimum holding period is 30 days after payment.
5. Refunds, adjustments and set-off
Refunds reverse the corresponding share of commission. Disputed customer payments are held for review. Adjustments to already paid earnings are recorded in the ledger and deducted from future balances. Customer cancellation stops future earnings for unpaid periods. Currency balances remain separate. Subject to applicable law, we may set off documented refund, chargeback and overpayment amounts against commission in the same currency, with an explanation in the portal. Disputed amounts are reviewed before recovery; unrelated, undisputed earnings are not forfeited.
6. Payouts, invoices and tax
Payouts are reviewed monthly once the available balance reaches 50 units of its currency. Verified business and finance details are required. Changes trigger re-verification and a 48-hour security hold. Payment references and statements appear in the portal. Commissions are consideration for referral marketing services. Supply accurate identity and tax information and any invoice required by applicable law or the agreed finance process, including VAT or reverse-charge information where applicable. We may hold payment while required information is missing and will explain what is needed. Each party remains responsible for its own tax and reporting obligations. Partners are responsible for their income tax, social contributions and VAT obligations; this does not shift CustomerEagle’s own legal obligations to a Partner.
7. Responsible promotion
Clearly disclose your commercial relationship. Comply with applicable advertising, electronic-communications, privacy and consumer-protection laws. Do not send spam, make misleading or unsubstantiated claims, impersonate CustomerEagle, bid on CustomerEagle brand keywords or confusing variants without written permission, use cookie stuffing or manufacture referrals. Do not register confusingly similar trademarks, domains or social handles. Customer promotions apply only when explicitly configured and cannot be stacked with another checkout promotion.
8. Brand licence
CustomerEagle and its licensors retain their intellectual property. While approved and in compliance with these terms, you receive a limited, revocable, non-exclusive, non-transferable licence to use approved CustomerEagle names and assets solely for authorised referral promotion. Follow written brand instructions; goodwill accrues to RSG Digital. On suspension, termination or a reasonable written request, stop using the assets and remove them from channels you control within seven days.
9. Privacy and confidentiality
Our Partner Privacy Notice describes Partner account processing. Referral summaries are restricted; attribution grants no access to customer workspaces or support content. Respect referral tracking choices; customers can enter a code themselves. Use non-public portal information only for Program participation, protect it with reasonable care and disclose it only to people who need it and are bound by confidentiality, or where legally required. This excludes public information, independently developed information and information lawfully received from another source. Do not use non-public referral data to target customers for unrelated marketing.
10. Liability and third-party claims
To the extent permitted by law, CustomerEagle’s aggregate liability relating to the Program is limited to the greater of EUR 1,000 and the commissions paid or payable to you in the 12 months preceding the event giving rise to the claim. This cap does not limit our obligation to pay commissions properly due. Neither party is liable for indirect or consequential loss to the extent lawfully excludable. No provision excludes fraud, intent (opzet), wilful recklessness (bewuste roekeloosheid), or liability and rights that cannot lawfully be limited. A Partner is responsible for third-party claims to the extent caused by its unlawful promotion, infringement or breach of these terms. We must promptly notify the Partner, allow reasonable participation in the defence and mitigate loss; no admission or settlement binding the Partner may be made without its reasonable consent. This does not transfer regulatory liability or fines that cannot lawfully be transferred.
11. Changes and disputes
Changes apply prospectively after notice through the portal or email. Existing referrals retain their recorded rate and duration. Material changes require explicit acceptance for continued portal use; acceptance is recorded with the version and time. Raise statement questions at [email protected], preferably within 30 days so we can investigate promptly. Missing that target does not automatically waive a claim. We may pause links or affected payouts during a reasonable investigation of suspected misuse, explain the reason where legally permitted and review the hold promptly.
12. Termination
Either party may terminate on 30 days’ written notice to the email on file or [email protected]. We may suspend or terminate promptly for fraud, unlawful promotion or a material breach; for a remediable breach we normally give 14 days to remedy it. You may terminate for our material breach if it remains uncured after 14 days’ written notice. Termination stops new referrals and the brand licence. Existing qualifying referrals retain their recorded earning window, subject to customer payment, refunds and documented fraud or ineligibility. Accrued, undisputed commissions remain payable through the finance process; contact us to settle a closing balance below the normal threshold. Payment, adjustment, confidentiality and dispute provisions survive as needed. Mandatory termination rights remain unaffected.
13. Governing law and contact
Dutch law governs these terms. Subject to mandatory jurisdiction and consumer rules, the competent courts of Oost-Brabant, the Netherlands, have exclusive jurisdiction. Contact [email protected] to attempt resolution before proceedings; urgent relief and mandatory rights remain available. These terms govern the Program together with any expressly agreed individual commission terms. The English text is authoritative unless mandatory law requires otherwise.
